These Terms and Conditions of Sale ("Terms") apply to all quotations, orders, and sales of products by Autac USA Inc. ("Autac," "Seller," "we," or "us") to the buyer ("Buyer," "you"). By placing an order with Autac, you accept and agree to be bound by these Terms. These Terms supersede any conflicting terms in Buyer's purchase order or other documents unless expressly agreed in writing by an authorized representative of Autac.
All quotations are subject to acceptance by Autac and do not constitute binding offers. Unless otherwise stated in writing, quotations are valid for thirty (30) days from the date issued. Autac reserves the right to withdraw or modify any quotation prior to acceptance of an order. Quoted prices are based on quantities, specifications, and delivery schedules provided at the time of quotation; changes to any of these may result in price adjustments.
All orders are subject to written acceptance by Autac. A binding contract is formed only upon Autac's issuance of a written order acknowledgment or commencement of production. Autac reserves the right to reject any order for any reason. Orders for custom products are non-cancelable once production has begun.
All prices are quoted in U.S. dollars and are exclusive of applicable taxes, duties, shipping, and handling charges unless otherwise stated. Autac reserves the right to adjust prices at any time due to changes in raw material costs, labor costs, or other factors beyond our control. For ongoing orders, Autac will provide reasonable advance notice of price changes. Published price lists and catalog prices are subject to change without notice.
Unless otherwise agreed in writing, payment terms are net thirty (30) days from the date of invoice. Autac reserves the right to require advance payment, deposits, or credit approval prior to accepting orders. Overdue balances are subject to a late payment charge of 1.5% per month (18% per annum) or the maximum rate permitted by law, whichever is less. Buyer is responsible for all costs of collection, including reasonable attorney's fees.
Unless otherwise agreed, all shipments are FOB shipping point (North Branford, Connecticut). Risk of loss and title to products pass to Buyer upon delivery to the carrier. Shipping dates are estimates only and are not guaranteed. Autac shall not be liable for delays in delivery due to causes beyond our reasonable control. Buyer is responsible for inspecting shipments upon receipt and reporting any damage or shortages within five (5) business days.
Minimum order quantities may apply to certain products, particularly custom configurations. Autac will communicate any applicable minimums at the time of quotation. Small-quantity surcharges may apply to orders below standard production minimums.
Products manufactured to Buyer's specifications ("Custom Products") are non-cancelable and non-returnable. Buyer is responsible for the accuracy of all specifications, drawings, and requirements provided to Autac. Autac is not responsible for the fitness of Custom Products for Buyer's intended use unless Autac has expressly agreed in writing to meet specific performance criteria. Tooling and dies created for Custom Products remain the property of Autac unless otherwise agreed in writing.
Standard stock products may be returned within thirty (30) days of delivery, subject to prior written authorization from Autac (RMA required). Returned products must be in original, unused condition and packaging. A restocking fee of up to 15% may apply. Custom products, cut-to-length items, and products that have been used, modified, or damaged are not eligible for return. Autac reserves the right to charge cancellation fees for orders cancelled after acceptance, including costs incurred for materials, labor, and production setup.
Autac warrants that products will be free from defects in materials and workmanship for a period of one (1) year from the date of shipment under normal use and service conditions. This warranty does not cover damage resulting from misuse, abuse, improper installation, modification, accident, or use beyond the product's rated specifications.
Autac's sole obligation under this warranty is, at our option, to repair or replace defective products or refund the purchase price. This warranty is exclusive and in lieu of all other warranties, express or implied, including but not limited to implied warranties of merchantability and fitness for a particular purpose.
To the fullest extent permitted by law, Autac's total liability for any and all claims arising from the sale or use of products shall not exceed the purchase price of the specific products giving rise to the claim. In no event shall Autac be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunity, regardless of the cause of action or theory of liability.
All designs, specifications, drawings, and technical data provided by Autac remain the exclusive property of Autac and are confidential. Buyer shall not disclose, copy, or use such information for any purpose other than the purchase and use of Autac products without prior written consent.
Autac shall not be liable for failure or delay in performance due to causes beyond our reasonable control, including but not limited to natural disasters, war, terrorism, epidemics, labor disputes, government actions, supply chain disruptions, material shortages, or utility failures. In the event of a force majeure, delivery dates shall be extended by a period equal to the duration of the delay.
Buyer is responsible for compliance with all applicable laws, regulations, and industry standards governing the use and installation of Autac products, including but not limited to the National Electrical Code (NEC), UL standards, and OSHA requirements. Autac products are manufactured in compliance with applicable UL/CUL listings as specified in product documentation.
These Terms shall be governed by and construed in accordance with the laws of the State of Connecticut, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in New Haven County, Connecticut. The prevailing party in any legal action shall be entitled to recover reasonable attorney's fees and costs.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
These Terms, together with any written quotation or order acknowledgment issued by Autac, constitute the entire agreement between the parties with respect to the sale of products and supersede all prior agreements, representations, and understandings.
